INVITATION TO BID

Bid #0439-Natural Gas Services

The Board of County Commissioners for Rogers County, State of Oklahoma, (”Buyer”) submits this Invitation to Bid to prospective suppliers of natural gas (”Seller” or “Respondent”) for procurement of natural gas service to Rogers County government facilities. Provided in the Invitation to Bid are the Buyer’s anticipated load requirements for two (2) facilities.

Respondents may provide a bid for any or all county government facilities for which they are able to provide natural gas services.

Rogers County is looking for a supplier that can provide reliable natural gas supply, steady performance, indexed, basis, and fixed pricing options, and favorable contract terms and conditions.

SCHEDULE*

Rogers County plans to conduct this Invitation to Bid in accordance with the following schedule;

• Invitation to Bid issued: July 21st, 2006

• Bid responses due: August 7th, 2006

• Select prospective Seller: August 14th, 2006

• Complete negotiations

• Contract with Seller: When negotiations are finalized

• Seller to begin providing supply: When negotiations are finalized

*Rogers County wishes to begin services as soon as practically possible. However, Buyer does recognize that certain administrative and regulatory procedures may preclude strict adherence to the anticipated schedule.

DESCRIPTION

This Invitation to Bid includes two (2) county government facilities located in Rogers County, Oklahoma. The twelve (12) month metered usage and LDC information on the proposed accounts is included as an attachment to this Bid.

BUYER RESPONSIBILITIES

Please describe Buyer’s responsibilities with regard to nominations, balancing, imbalance management, billing, and cash-out policy.

PRICING

Respondents should provide Fixed, Basis, and Index pricing options. Pricing should be “all in” and include all costs associated with the delivery of natural gas to the required delivery point, including but not limited to administrative costs, fuel, and pooling and balancing costs. Alternative pricing methods that provide opportunities for savings to Buyer are encouraged and will be evaluated on a case-by-case basis.

RECORD OF PERFORMANCE

State whether your firm, or affiliated, have ever defaulted on a firm natural gas supply contract. If so, please explain the circumstances.

State whether or not in the past three (3) years your firm or any of its affiliates have every claimed Force Majeure on any natural gas supply contract. If so, please explain the circumstances.

FINANCIAL ASSURANCES

The Seller that is awarded the contract may be required to provide such additional and reasonable financial assurances that are satisfactory to the Buyer.

CONTRACT PROVISIONS

Buyer required that you provide a complete draft copy of your contract with your pricing proposal. Billing, Force Majeure, Change in Laws, Assignment, Rights of First Refusal, Term Extensions, Change in Certification Status and Indemnification provision will be given due consideration in the bid selection process.

MISCELLANEOUS

Buyer reserves the right (1.) to conduct the process leading up to a possible transaction as it, in its sole discretion, determines and (2.) to change the procedures relating to consideration of the transaction at any time without prior notice to you or any other person. Buyer is not obligated to select the lowest price. Unless and until Buyer has executed a written definitive agreement concerning a transaction, Buyer will not have any liability with respect to a transaction.

Sealed bids will be opened in the Commissioner’s Meeting Room 1-109, Rogers County Courthouse, 219 South Missouri Avenue, Claremore, Oklahoma,

Purchases by Rogers County, Oklahoma are not subject to State or Federal taxes.

Oklahoma law required each bidder submitting a bid to Rogers County for goods or services to furnish a notarized sworn statement of non-collusion.

Bids should be sent to the Rogers County Purchasing Agent, %Rogers County Clerk, 219 South Missouri Avenue, Room 1-104, Claremore, Oklahoma 74017.

LATE BIDS WILL NOT BE CONSIDERED. Bids must be received in sealed envelopes, one (1) to an envelope, with bid number and closing date written on the outside of the envelope.

Rogers County reserves the right to delete any item and reject any and all bids.
